It is also the governing body that ensures adherence to good governance procedures.\n<\/p>\n<p>Unlike the full board of directors executive committees are generally smaller groups with close ties through the leadership. They could be accountable for selecting a new CEO, conducting reviews of CEO performance and reporting to the board.\n<\/p>\n<p>Ultimately, the executive committee functions as the steering wheel of the board, giving priority to issues that the board should consider. However, it is essential that the executive committee be fully transparent to the rest of the board on its decisions and respects the full board&#8217;s guidelines. To achieve this, it is suggested that the executive committee is a standing committee of the board with a defined term of office and formal terms of reference.
